Online Acceptance Notice: By checking the booking checkbox, clicking “Book,” “Reserve,” “Pay,” “Submit,” or similar acceptance button, or by submitting payment for a headshot and/or mini-session, the person booking the session confirms that they have read, understand, and agree to these terms for themselves and for all participants included in the session.
These Online Booking Terms and Conditions (“Agreement”) apply to all headshot and portrait mini-session photography services booked with Fidei Digital Enterprises, an Ohio limited liability company doing business as Mike Hensley Photography (“Photographer”). The person completing the online booking, submitting payment, or otherwise accepting these terms is referred to as “Client.” Photographer and Client may be referred to individually as a “Party” and collectively as the “Parties.”
The session date, session time, location, package, session length, price, included deliverables, add-on options, and any event-specific details shown on the online booking page, invoice, checkout page, confirmation email, or event description are incorporated into this Agreement by reference.
1. Mini-Session Scope
Mini-sessions may include headshots, portraits, family portraits, individual portraits, corporate or business headshots, seasonal portrait sessions, studio sessions, outdoor sessions, on-location sessions, event sessions, or similar limited photography sessions offered by Photographer.
Each mini-session is limited to the package purchased and the time slot selected during booking. Mini-session length is typically 15 to 30 minutes, depending on the package or event purchased. The session begins and ends at the scheduled time listed in the booking confirmation.
2. Included Deliverables
Unless a specific booking page, package description, invoice, or written confirmation states otherwise, each mini-session includes delivery of an online proofing gallery containing approximately 3 to 5 proof images. Client may select one image from the proofing gallery for final editing, and Photographer will deliver one final edited image.
Additional images, editing, retouching, prints, products, downloads, commercial licensing, rush delivery, or other services are not included unless purchased separately or specifically included in the booking package.
3. Payment and Booking
Full payment is required at the time of booking. A mini-session date and time are not reserved until payment has been received and the booking has been confirmed.
All prices, package details, additional-image prices, retouching prices, product prices, and add-on prices are the prices displayed for the specific mini-session event or package at the time of booking or purchase. Client agrees to pay all applicable fees, taxes, and charges shown during checkout or invoicing.
All payments are final except as expressly stated in this Agreement or as otherwise required by applicable law.
4. Proof Gallery and Image Selection
Photographer will provide Client with access to a proofing gallery within approximately seven calendar days after the session date. Client is responsible for reviewing the proofing gallery and selecting the included image for final editing.
If the booking page, gallery, or communication from Photographer provides an image-selection deadline, Client must submit the selected image by that deadline. If Client does not select an image by the stated deadline, Photographer may, at Photographer’s discretion, select the image for final editing, extend the selection deadline, archive the proofing gallery, or charge an additional gallery reactivation or administrative fee.
Proof images are provided for selection purposes only. Unless otherwise stated in writing, proof images may not be downloaded, copied, screenshotted, edited, printed, posted, shared, or otherwise used before purchase or final delivery.
5. Final Image Delivery
Photographer will provide the final edited image within approximately seven calendar days after Client submits the selected image for editing, provided that all required payments have been made.
Final images are typically delivered digitally through an online gallery, file transfer link, or other digital delivery method selected by Photographer. Delivery timelines may be affected by Client delays, high-volume event scheduling, technical issues, illness, emergencies, weather-related disruptions, or other circumstances outside Photographer’s reasonable control.
6. Additional Images, Editing, and Retouching
Client may have the option to purchase additional images, additional edits, products, downloads, or additional retouching, depending on the specific mini-session event and Photographer’s availability. Prices and available options will be displayed on the applicable booking page, proofing gallery, invoice, checkout page, order form, event description, or written communication from Photographer.
Additional editing or retouching will not begin until any required additional payment has been received.
7. Editing Style and Retouching Limits
Client acknowledges that Photographer’s editing style is part of Photographer’s artistic brand and professional judgment. Final images will be edited in a manner consistent with Photographer’s standard style unless otherwise agreed in writing.
Standard editing may include basic adjustments such as exposure, color, contrast, cropping, and light retouching at Photographer’s discretion. Unless separately agreed and paid for, standard editing does not include extensive retouching, including but not limited to body reshaping or body modification, major skin or facial reconstruction, extensive wrinkle or feature removal, background replacement, complex object removal, clothing changes, wardrobe reconstruction, hair replacement, head swaps, composite work, advanced digital manipulation, or re-editing to match another photographer’s style, filter, preset, or sample image.
Photographer is not required to provide unedited images, RAW files, source files, unused images, or outtakes unless specifically agreed in writing.
8. Rescheduling, Late Arrival, and No-Show Policy
Mini-sessions are scheduled in short, back-to-back time slots. Client understands that punctuality is essential.
If Client arrives late, the session will still end at the originally scheduled end time. Late arrival will reduce the amount of time available for photography and may result in fewer usable images. Session time cannot be extended because of late arrival.
Photographer will make reasonable efforts to reschedule Client within the same day’s available mini-session schedule if Client is late or needs to reschedule; however, rescheduling is not guaranteed and depends entirely on Photographer’s availability and open mini-session slots for that same day.
If Client cannot be rescheduled within the same day’s mini-session availability, or if Client fails to appear for the scheduled session, Client will be considered a no-show and will forfeit all payments made.
9. Cancellation Policy
Because mini-session time slots are limited and reserved specifically for Client, all payments are non-refundable unless otherwise required by applicable law or agreed in writing by Photographer. Address Charge-Back
Client cancellations, missed sessions, failure to appear, or inability to attend the scheduled session do not entitle Client to a refund. Photographer may, at Photographer’s discretion, offer a same-day rescheduling opportunity if an available slot exists, but Photographer is not obligated to provide a new session date, credit, refund, or replacement session if same-day rescheduling is not possible.
10. Weather, Location, and Event Changes
For outdoor or on-location sessions, Photographer may determine whether weather, lighting, safety, property access, venue restrictions, or other conditions require a location change, delay, or rescheduling attempt.
If Photographer determines that conditions are unsuitable or unsafe, Photographer may relocate the session, adjust the session plan, or attempt to reschedule Client within available same-day mini-session slots. Rescheduling is subject to availability and is not guaranteed unless otherwise agreed in writing.
Client is responsible for arriving prepared for the session location, weather, parking, access requirements, wardrobe needs, grooming needs, and any event-specific instructions provided by Photographer.
11. Client Cooperation and Conduct
Client agrees to cooperate with Photographer and follow reasonable instructions during the session. Photographer is not responsible for missed images, limited variety, reduced image quality, or lack of desired results caused by Client’s late arrival, lack of cooperation, wardrobe choices, grooming choices, unwillingness to follow direction, behavior of children or guests, venue restrictions, weather, lighting conditions, or other circumstances outside Photographer’s control.
Photographer reserves the right to end the session without refund if Client or any participant behaves in a threatening, harassing, unsafe, discriminatory, destructive, or otherwise inappropriate manner.
12. Children and Minor Participants
If any participant is under the age of 18, Client represents and warrants that Client is the minor participant’s parent or legal guardian, or that Client has obtained all legally required permission from the minor participant’s parent or legal guardian before booking and participating in the session.
By accepting this Agreement, Client confirms that they have legal authority to authorize the minor’s participation in the session and to grant the permissions and releases contained in this Agreement on behalf of the minor participant.
Client agrees to remain responsible for the safety, behavior, supervision, and wellbeing of all minor participants during the session.
13. Copyright Ownership
Client understands and agrees that Photographer owns the copyright to all images created during the session, including proofs, final edited images, outtakes, and related photographic works. No copyright ownership is transferred to Client unless expressly stated in a separate written agreement signed or otherwise accepted by Photographer.
Client may not alter, edit, crop, apply filters to, sell, license, publish commercially beyond the permitted license, enter into contests, or transfer images to third parties except as allowed under this Agreement or with Photographer’s prior written permission.
14. Client Usage License
Upon full payment and delivery of final edited image(s), Photographer grants Client a non-exclusive, non-transferable license to use the final delivered image(s) for personal and/or business use, depending on the nature of the session purchased.
Permitted uses may include personal printing and display, personal social media sharing, business headshots and professional profile images, company website biographies or team pages, LinkedIn and other professional networking profiles, email signatures, internal business directories, and basic professional marketing use by Client.
Client may not sell, sublicense, transfer, or allow third-party commercial use of the images without Photographer’s prior written permission. Third-party use by employers, publications, advertisers, agencies, media outlets, or other businesses may require a separate commercial license unless specifically included in writing.
15. Photographer Portfolio, Marketing, and Model Release
Client grants Photographer and Photographer’s business, Fidei Digital Enterprises DBA Mike Hensley Photography, the irrevocable and unrestricted right to use, publish, display, reproduce, and distribute images from the session for Photographer’s portfolio, website, social media, advertising, marketing, studio samples, print materials, competition entries, editorial uses related to Photographer’s business, and other promotional purposes.
Client understands that images may be displayed publicly and may be used with or without Client’s name, unless otherwise agreed in writing. For minor participants, Client grants the same model release and usage permission on behalf of the minor participant(s).
Any requested privacy restriction must be accepted by Photographer in writing before the session. A request for privacy or image-use restrictions is not effective unless Photographer confirms the restriction in writing.
16. Image Storage and Archiving
Photographer may retain, archive, delete, or remove images and galleries at Photographer’s discretion after delivery. Photographer is not responsible for storing images indefinitely.
Client is responsible for downloading, backing up, and safely storing final delivered images. Gallery access may expire after the expiration date or access period listed in the gallery, booking page, order page, or communication from Photographer. A gallery reactivation, image retrieval, or archive search fee may apply if Client requests access after the gallery has expired.
17. Limitation of Liability
Client understands that photography involves variables outside Photographer’s control, including but not limited to weather, lighting, location conditions, venue restrictions, wardrobe, grooming, participant cooperation, technology issues, illness, emergencies, and acts of God.
If Photographer is unable to perform services because of illness, emergency, equipment failure, accident, unsafe conditions, or circumstances beyond Photographer’s reasonable control, Photographer’s liability shall be limited to, at Photographer’s discretion, a rescheduled session, replacement session, credit, or refund of amounts paid by Client.
In no event shall Photographer be liable for indirect, incidental, consequential, special, emotional, reputational, business, or punitive damages. Photographer’s total liability under this Agreement shall not exceed the amount paid by Client for the mini-session.
18. Location, Permissions, and Property
Unless otherwise stated in writing, Client is responsible for obtaining any permissions, passes, parking, permits, access approvals, or location authorizations needed for the session when the location is selected or requested by Client.
Client is responsible for any admission fees, parking fees, travel-related fees, permit fees, rental fees, location fees, or other charges required for the session unless otherwise agreed in writing. Client agrees to be responsible for damage caused by Client, Client’s guests, or minor participants to any location, property, equipment, props, or facilities used during the session.
19. Force Majeure
Neither Party shall be liable for failure or delay in performance caused by circumstances beyond that Party’s reasonable control, including but not limited to severe weather, natural disasters, fire, flood, power outage, illness, injury, epidemic, government restrictions, venue closure, civil unrest, transportation disruption, or other events outside the affected Party’s reasonable control.
20. Ohio Law and Dispute Resolution
This Agreement shall be governed by and interpreted according to the laws of the State of Ohio, without regard to conflict-of-law principles.
The Parties agree to first attempt to resolve any dispute informally and in good faith. If the dispute cannot be resolved informally, the Parties agree that any legal action shall be brought in a court of competent jurisdiction in the State of Ohio, unless otherwise required by law. Add County
21. Consumer Cancellation Rights and Legal Requirements
Certain Ohio or federal consumer cancellation rights may apply to specific types of transactions, including some transactions signed at a consumer’s home or at locations away from a seller’s usual place of business. If applicable, Photographer will provide any legally required cancellation notice, and any cancellation rights required by law will control over conflicting language in this Agreement.
Nothing in this Agreement is intended to waive any non-waivable consumer right or legal protection that applies to Client.
22. Entire Agreement
This Agreement, together with the applicable online booking page, checkout page, invoice, event description, package description, confirmation email, proofing gallery terms, and any written communication confirming event-specific details, contains the entire understanding between the Parties regarding the mini-session.
If an event-specific booking page, invoice, or written confirmation includes different package details, pricing, location, session length, delivery details, or add-on options, those event-specific details apply to that booking. Any other change to these terms must be agreed to in writing by Photographer.
23. Severability
If any part of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
24. Electronic Agreement
Client agrees that checking an online agreement box, clicking a booking or payment button, submitting payment, or otherwise completing the booking process constitutes Client’s electronic acceptance of this Agreement and has the same legal effect as a handwritten signature to the fullest extent permitted by law.
