These Terms of Use govern access to and use of www.FideiDigital.com and related website pages, forms, booking links, galleries, images, text, and online services provided by Fidei Digital Enterprises, LLC d/b/a Fidei Digital (“Fidei Digital,” “we,” “our,” or “us”). Separate service-specific terms apply to paid photography and imaging projects.
1. Website Purpose
The website provides information and booking access for services that may include residential and commercial real-estate photography, aerial photography, virtual or 3D tours, floor-plan products, headshots, executive portraits, corporate headshot events, print sales, and other photography or imaging services.
Using the website, submitting an inquiry, or requesting a quote does not by itself reserve a date or create a client relationship.
2. Service-Specific Terms Control
Paid services may be governed by booking terms, order forms, estimates, invoices, licenses, releases, cancellation policies, and service agreements. If these website Terms conflict with accepted service-specific written terms, the service-specific terms control.
3. Intellectual Property
Unless otherwise stated, photographs, images, graphics, logos, text, website copy, designs, videos, tours, and other original materials displayed on the website are owned by or licensed to Fidei Digital Enterprises, LLC d/b/a Fidei Digital.
Without written permission, you may not copy, scrape, download, reproduce, modify, distribute, sell, license, use for artificial-intelligence training, create derivative works from, or commercially exploit our website content.
4. Delivered Media and Real-Estate Licensing
Copyright in delivered media remains with Photographer unless a written copyright transfer states otherwise. Upon full payment, real-estate clients receive the license stated in the applicable service agreement or booking terms.
A standard real-estate license may authorize the ordering agent and affiliated brokerage to market the photographed property through the MLS, the MLS’s authorized syndication/IDX/VOW ecosystem, agent and brokerage websites, listing portals, social media, email, digital advertising, print marketing, and comparable property-marketing channels.
After the listing ends, the ordering agent and affiliated brokerage may retain images for historical portfolio and sold-property self-promotion. The license does not authorize a subsequent listing agent to use the images for a new listing, or builders, architects, designers, stagers, contractors, publications, vendors, or other third parties to use the images independently without permission.
5. MLS and Downstream Distribution
By providing media for a listing, Photographer permits the client and affiliated brokerage to grant the MLS the rights reasonably required by the applicable MLS rules for inclusion in the MLS compilation and its authorized syndication, IDX, VOW, data-feed, archival, valuation, and related real-estate uses.
Photographer is not responsible for downstream retention, compression, display, syndication, archival, or other uses made by an MLS or authorized service once the client submits the media in accordance with the license.
6. Virtual Staging and Material Digital Alteration
Virtual staging, digital decluttering, material object removal, day-to-dusk conversion, and similar property-altering edits are provided only when requested by the client or expressly included in an order.
The client is responsible for any labeling or disclosure required by the client’s MLS, brokerage, advertising platform, professional rules, or applicable law.
7. Aerial Services
Aerial capture is subject to applicable FAA rules, airspace authorization, temporary restrictions, weather, visibility, site conditions, safety, equipment limitations, and Photographer’s professional judgment. No particular flight, altitude, or viewpoint is guaranteed when a legal or safety limitation applies.
8. Third-Party Platforms and Hosting
We may use third-party services such as CloudSpot, Aryeo or similar order/delivery systems, payment processors, editing services, Zillow, Matterport, gallery providers, hosting providers, and print or fulfillment services. Those services have their own terms, technical requirements, privacy policies, and availability.
Matterport or comparable tours hosted through Photographer may be deactivated or archived after a property is sold, a listing expires or is withdrawn, or the included hosting period ends. Continued hosting may require an additional fee.
9. Electronic Acceptance and Communications
By submitting information through the website or a linked service, you agree to provide accurate information and authorize service-related communications. Where permitted by law, an online booking action, checkbox, electronic signature, payment step, or other verifiable electronic action may evidence acceptance of applicable terms. Some releases may require separate affirmative consent.
10. Payments, Cancellations, and Delivery
Payments, cancellation fees, rescheduling, failed access, weather procedures, delivery targets, rush service, reshoots, hosting, and refunds are governed by the Booking & Cancellation Policy and the applicable order or service agreement.
11. No Guarantee of Business Results
Photography and imaging involve professional and creative judgment. We do not guarantee a listing outcome, sale price, days on market, buyer response, search ranking, social-media performance, or exact replication of a portfolio example.
12. Model Releases and Portrait Marketing
We may use identifiable headshots, portraits, or likenesses for our portfolio and business promotion only to the extent authorized by an applicable model release, booking term, or other valid written or electronically verifiable consent from a person authorized to grant that permission.
13. Permitted Website Use
• Do not copy, scrape, download, reproduce, or misuse website content or images.
• Do not attempt unauthorized access to the website, galleries, forms, booking systems, or connected services.
• Do not submit false, unlawful, harmful, or infringing information.
• Do not interfere with website security or operation.
• Do not use our name, brand, images, or content in a manner that falsely implies endorsement, ownership, or permission.
14. Privacy
Please review our Privacy Policy for information about collection, use, disclosure, storage, property-access information, photographs, tours, analytics, and third-party providers.
15. Website Disclaimer and Limitation of Liability
The website and website content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties concerning website accuracy, uninterrupted availability, and error-free operation.
To the fullest extent permitted by law, we will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising solely from website use, inability to use the website, reliance on website content, or third-party website links. Liability arising from paid photography or imaging services is governed primarily by the applicable service-specific agreement.
16. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Fidei Digital Enterprises, LLC d/b/a Fidei Digital from claims, losses, or reasonable costs arising from your unlawful misuse of the website, unauthorized use or relicensing of our content or delivered media, infringement caused by materials you supplied, or your violation of third-party rights or applicable platform rules.
17. Governing Law and Venue
These Terms are governed by Ohio law, without regard to conflict-of-law principles. Unless a service-specific agreement provides otherwise or applicable law requires another forum, disputes arising solely from these website Terms will be handled in a court with jurisdiction serving Butler County, Ohio.
18. Changes
We may update these Terms prospectively by posting a revised version with a new effective date. Changes to website Terms do not retroactively alter an accepted service-specific contract unless the parties agree otherwise.
